1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Fuse website, applications, and services (collectively, the "Services") provided by Fuse ("we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
2. Eligibility
You must be at least 13 years old to use the Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Your Account
To access certain features of the Services, you must create an account. When you create an account, you agree to:
- Provide accurate, current, and complete information;
- Maintain and promptly update your account information;
- Keep your password secure and confidential;
- Accept responsibility for all activities that occur under your account;
- Notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or no longer current, or if you violate these Terms.
4. Description of Services
Fuse provides analytics and insights tools for content creators, including:
- YouTube channel analytics and performance tracking;
- Audience insights and demographic data;
- Growth predictions and trend analysis;
- Creator discovery and benchmarking tools;
- Dashboard and reporting features.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
5. YouTube API Services
Our Services use YouTube API Services to provide analytics for your YouTube channel. By using features that connect to YouTube, you agree to be bound by the YouTube Terms of Service.
When you connect your YouTube account:
- You authorize us to access your YouTube channel data via Google OAuth;
- You grant us permission to retrieve and display your analytics data;
- You acknowledge that YouTube data is subject to YouTube's terms and policies;
- You can revoke access at any time through your Google Account Permissions.
Our use of YouTube data is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.
6. Subscriptions and Payments
Some features of the Services require a paid subscription. By subscribing:
- You agree to pay all applicable fees as described at the time of purchase;
- Subscriptions automatically renew unless cancelled before the renewal date;
- You authorize us to charge your payment method for recurring fees;
- Fees are non-refundable except as required by law or as stated in these Terms;
- We may change pricing with notice; continued use constitutes acceptance.
Payments are processed by third-party payment processors (e.g., Stripe). Your use of payment services is subject to their terms and privacy policies.
7. Free Trials
We may offer free trials of premium features. At the end of the trial period, you will be charged the applicable subscription fee unless you cancel before the trial ends. We reserve the right to limit free trials to one per user or household and to modify or discontinue trial offers at any time.
8. Acceptable Use
You agree not to use the Services to:
- Violate any applicable laws or regulations;
- Infringe on the rights of others, including intellectual property rights;
- Transmit malware, viruses, or other harmful code;
- Attempt to gain unauthorized access to our systems or other users' accounts;
- Interfere with or disrupt the Services or servers;
- Scrape, crawl, or collect data from the Services without permission;
- Use the Services for any fraudulent or deceptive purposes;
- Impersonate any person or entity;
- Harass, abuse, or harm others;
- Use automated means to access the Services without our consent.
9. Intellectual Property
The Services and all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio, video, software, and code) are owned by Fuse or our licensors and are protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your personal or internal business purposes. You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.
10. Your Content
You retain ownership of any content you submit, post, or display through the Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving the Services. You represent that you have all necessary rights to grant this license.
11. Third-Party Services
The Services may contain links to or integrations with third-party websites, services, or content. We do not control and are not responsible for third-party services. Your use of third-party services is at your own risk and subject to their terms and policies. This includes YouTube, Google, and any payment processors we use.
12. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected. Analytics data and predictions are provided for informational purposes only and should not be relied upon as the sole basis for business decisions.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUSE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
14. Indemnification
You agree to indemnify, defend, and hold harmless Fuse and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another party.
15. Termination
You may terminate your account at any time by contacting us or using the account deletion feature in the Services. We may suspend or terminate your access to the Services at any time, with or without cause or notice, including if we believe you have violated these Terms.
Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership, disclaimers, indemnification, and limitations of liability.
16. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware.
18. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fuse regarding the Services.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
- Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
